01 The agreement.

By signing up, joining a cohort, or using eida, you agree to these terms.

These Terms of Service ("Terms") form a contract between you (or the business you represent) and eida systems ("eida", "we"). They cover your use of the eida product, the eida.ai website, and any related services we offer.

If you're agreeing on behalf of a company, you confirm you have authority to bind that company to these Terms. "You" then means the company.

02 Eligibility.

• You must be 18 or older — or the age of majority in your jurisdiction.
• You must be legally able to enter contracts in the country where you're using eida.
• You must not be on a sanctions list we're required to honour, and you must not use eida from a sanctioned region.

03 Your account.

One human, one account. Keep your password sane and your sessions to yourself; you're responsible for everything that happens under your login. If something looks off, write to security@eida.ai and we'll help.

Team workspaces: the person who creates the workspace is the workspace owner. They can invite, remove, and reassign members, and they're responsible for the workspace's content and billing.

04 The service.

eida is an AI-native business operating system. You describe your business in language; eida configures primitives (collections, workflows, content types, agents) around your vocabulary. We do our best to keep the service available, helpful, and honest about what it can and can't do.

We may add, change, or remove features as the product evolves. If we remove something material, we'll tell you with reasonable notice and give you a way to export your data.

05 Beta & cohort programs.

You're early. Things will move.

Cohort and beta access is offered as-is. Features may break, change name, disappear, or behave unexpectedly. We're grateful you're with us this early and we'll communicate honestly when things go sideways.

06 Billing.

• Pricing — published on the website. Prices are in USD (or the local currency we display at checkout) and may change with 30 days' notice for renewals.
• Trials — if you have one, it'll auto-roll into a paid plan unless you cancel before it ends. We'll email you before that happens.
• Billing cycle — monthly or annual, whichever you picked. You authorise us to charge your payment method on each renewal.
• Taxes — exclusive of taxes (GST, VAT, sales tax). We add them where required.
• Refunds — within 14 days of your first paid charge, refundable in full if eida didn't work out. Outside that window, refunds are at our discretion and usually pro-rated for unused time.
• Failed payment — we'll retry, then email you. After 14 days of non-payment, we may suspend the workspace; after 60 days, we may delete it.

07 Your data.

You own your data. Everything you put into eida — your workspace records, prompts, files, brand kits, generated outputs — stays yours. We hold it for you under the terms of our Privacy Policy and the data processing addendum that applies to your plan.

We grant ourselves a narrow licence — only to host, process, transmit, back up, and display your data so the product can function. Nothing else.

Export. You can export your workspace at any time, in open formats (JSON, CSV, standard files). After you close your account, we'll delete your data within 30 days unless legal retention obligations require otherwise.

08 AI output.

What eida generates is yours to use. With some honest caveats.

• Ownership — to the extent the law allows, the AI-generated images, copy, structured records, and assets produced for you in eida are owned by you when you create them.
• Similarity — generative models can produce similar outputs for similar prompts. We don't guarantee uniqueness, nor that another user couldn't get something similar.
• Verification is your job — check generated content for accuracy, brand fit, and legal compliance before you ship it. eida helps; it doesn't replace your judgement.
• Third-party rights — don't use eida to generate content that infringes someone else's copyright, trademark, publicity, or privacy rights. If you do, that's on you (see indemnity).
• Training — we don't train models on your data. See the Privacy Policy for detail.

09 Acceptable use.

Don't use eida to:

• Break the law — anywhere it applies to you, us, or the people you're targeting.
• Hurt people — harassment, threats, CSAM, content that incites violence or hate against protected groups.
• Deceive — non-consensual deepfakes, voice cloning of real people without permission, impersonation, election manipulation, financial fraud.
• Steal — generate content that infringes others' IP, scrape data from the service, reverse-engineer our models or systems.
• Overwhelm us — spam, denial-of-service, automated bulk usage that exceeds your plan, attempts to bypass rate limits.
• Sneak around AI provider terms — Anthropic, Google, OpenAI have usage policies; we pass those through. Violating their rules violates ours.

If we believe you're violating these rules, we may suspend your account while we investigate. For severe violations (CSAM, credible threats of violence, large-scale abuse), suspension is immediate and we may report you to authorities.

10 Our intellectual property.

The eida product, brand, code, models we author, designs, documentation, and website are owned by eida systems. We grant you a limited, non-exclusive, non-transferable, revocable licence to use them for their intended purpose. That licence ends when our agreement ends.

Feedback you give us about the product (bug reports, feature ideas, cohort sessions) — we can use, freely and royalty-free, to improve eida. We're not obligated to use it or credit you, but we usually try.

11 Termination.

You can close your account anytime from the workspace settings or by emailing support@eida.ai. We'll honour cancellations promptly; refunds follow §06.

We can terminate or suspend your account if you breach these Terms, fail to pay, or use eida in a way that creates legal risk for us or our users. For non-material breaches, we'll give you reasonable notice and a chance to fix it. For material breaches (illegal use, abuse, fraud), termination is immediate.

On termination, your access ends, your data becomes export-only for 30 days, and then we delete it. Any provisions that should reasonably survive termination (ownership, liability limits, indemnities, governing law) will survive.

12 Warranties & disclaimers.

We provide eida with reasonable care and skill. Beyond that, we make no promises — express or implied — about uninterrupted service, error-free output, or fitness for any particular purpose.

13 Limits of liability.

This is the boring part of the agreement. Read it anyway.

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or anything else that can't be limited under the law that applies to you.

14 Indemnity.

You'll defend and indemnify eida against third-party claims arising from (a) your use of the service in violation of these Terms or the law, (b) your content or prompts infringing someone's rights, or (c) your breach of the acceptable use rules in §09. We'll tell you promptly about any such claim and let you control the defence, provided you don't settle in a way that admits liability or imposes obligations on us without our written consent.

15 Changes.

We may update these Terms. For material changes, we'll post a notice in-product and email you at least 30 days before they take effect. If you don't agree, you can close your account before the change kicks in; continuing to use eida after that means you accept the updated Terms. Older versions stay accessible at eida.ai/terms/archive.

16 Governing law & venue.

These Terms are governed by the laws of India, excluding its conflicts-of-law rules. Any dispute will be resolved exclusively in the competent courts of Bengaluru, Karnataka, India — except where consumer protection laws in your country grant you the right to bring proceedings in your local courts, in which case those rights are preserved.

If any provision of these Terms is held unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of our right to enforce it later.
