What we owe you. What you owe us.
eida is early software that sits on a WhatsApp account and writes into a tool your business runs on. Both of those deserve a plain agreement rather than a defensive one, so this is written to be finished in one sitting — including the parts that are in our favour.
The short version
- You are in charge of what it reads. You pick the chats, you can unpick them, and you can unlink the account whenever you like.
- Nothing is created without a human. eida proposes; a person on your team approves. If something wrong lands on your board, it landed because somebody tapped approve.
- It cannot send messages. Not as a setting — there is no send function in the software.
- Your chats are yours. We do not sell them, mine them, or train models on them.
- You must have the right to link that account, and you are responsible for your clients being treated fairly in it.
- This is early software connected to a platform that offers us no official access. It can break, and it comes with real limits on what we can promise.
This box is a summary, not the agreement. Where the two differ, the numbered sections below are what binds.
01 The agreement
These terms are between you — the business or person using eida (“you”, “your”) — and [registered entity name], [registered address] (“eida”, “we”, “us”). By creating a workspace, linking a WhatsApp account or using the console, you accept them. If you are accepting on behalf of a company, you confirm you are allowed to.
Our Privacy Policy forms part of this agreement. If we have signed a separate written contract with you, that contract wins wherever it conflicts with this page.
You need to be at least 18 and legally able to enter a contract.
02 What eida does
eida connects to a WhatsApp account you control, reads the chats you switch on, proposes work it believes was requested, and — after a person on your team approves it — writes that work into a task manager you already use.
Two properties of the service are commitments, not settings, and we will not remove them without telling every customer first:
- It cannot send anything on WhatsApp. No message, no reply, no reaction. There is no send path in the product and our build fails if one ever appears.
- It does not create work without approval. Nothing is written into your task manager until a person has approved it in the console.
New workspaces start in observation mode, in which approvals are recorded and nothing is written anywhere. Turning on writing is a deliberate act by you, and switching it on does not go back and write your existing backlog.
03 Your account
You are responsible for who has access to your workspace and for what they do with it. Today a workspace is protected by a shared password, which means the record of an approval names the workspace rather than the individual — so treat that password as seriously as you would the chats themselves. Per-person sign-in is being built.

04 Linking a WhatsApp account
This is the section to read twice.
eida is not affiliated with, endorsed by or connected to WhatsApp or Meta. WhatsApp provides no official way for a business to read its own group conversations, so eida links to your account the way a desktop client does. By linking an account you confirm and accept all of the following:
- You own the account, or the person who does has understood what eida will read and has agreed to it.
- Your use of WhatsApp stays governed by WhatsApp's own terms, and connecting a third-party client may not sit comfortably with them. That is a decision you are making with your eyes open.
- WhatsApp may restrict or ban a connected account. The behaviour that actually gets accounts banned is sending — bulk messages, mass adds, spam reports — and eida does none of it, because it cannot send. But we cannot promise it will never happen, and if it does, we are not liable for it.
- You will follow the law that applies to you when it comes to recording or processing conversations, including telling the people in those chats where that is required. We give you the disclosure text and the tools; using them is on you.
We think the right thing — and in several places the legal thing — is to tell the people in a watched group that requests from that chat go into your task system. It costs one message and it removes the entire category of unpleasant surprise. We will help you word it.
05 Your data and your clients' data
Everything eida reads and stores from your chats belongs to you and your clients, not to us. In data-protection terms you are the controller and we are your processor: we process it to run the service for you and for no purpose of our own. We do not sell it, do not use it for advertising, and do not use it to train models.
You keep the right to see it, correct it, export it and delete it at any time from the console. What we hold, how long, and who else touches it is set out in full in the Privacy Policy.
We may use anonymous, aggregated operational statistics — counts, latency, error rates, accuracy measurements — to run and improve the service. These never contain message contents, names or anything that identifies a person or a business.
You confirm you have the right to have those chats processed by a service provider, and that doing so does not breach an obligation you owe to anybody in them.
06 What you may not do
- Link an account you do not control or have not been given permission to link.
- Use eida to surveil people — staff, family, partners — rather than to capture work your business agreed to do. It is built for a business's own client conversations, and this is the line.
- Watch chats you have no legitimate business reason to read.
- Use eida for anything unlawful, or to process data you obtained unlawfully.
- Resell or white-label the service without our written agreement.
- Try to break, overload, reverse engineer or circumvent the limits of the service — including the ones that exist to protect other people.
- Share your workspace access with people outside your organisation.
If you do any of these, we may suspend or close the workspace. Where the breach is serious — particularly the second one — we will do it without notice.
07 Pilots, pricing and payment
A pilot is free, runs for about two weeks on your real chats in observation mode, and writes nothing anywhere. There is nothing to cancel and no card to give us.
Paid plans are billed per reviewer seat, monthly in advance, at the price on our pricing page at the time you subscribe, in the currency shown there, plus any applicable tax. Not per task — eida should not get more expensive in a busy month.
Payments are non-refundable except where the law requires otherwise, or where we have plainly failed to deliver the service — in which case ask, and we will be reasonable about it. Cancel any time and the service continues to the end of the period you have paid for.
If we change the price, current customers get at least 30 days' notice before it applies to them, and can cancel instead.
08 Early software
eida is early, and pretending otherwise would be the least useful thing on this page. Things you should expect:
- It only reads messages that arrive while it is connected. Messages sent while the connection is down are missed entirely — not queued, not caught up later. Do not treat eida as a complete record of what was asked.
- Features change, and some are on the public roadmap precisely because they do not exist yet.
- There may be downtime, and we do not offer an uptime guarantee at this stage.
eida is a safety net, not a system of record. Your task manager is the record; WhatsApp is the conversation. If a job matters, do not rely on eida having caught it.
09 AI output
eida uses a language model to decide whether a message contains a request and to draft a title, a due date and a client. Models get things wrong. Ours is constrained — every proposal must quote the real message word for word or it is discarded, and the client comes from the chat rather than a guess — but constrained is not the same as correct.
This is the reason a person approves everything. Once you tap approve, the resulting task is yours: your team judged it, and you are responsible for acting on it. We are not liable for a decision your business makes on the basis of a proposal, including one it approved without reading.
10 Your other tools
When you connect a task manager, you authorise eida to write approved work into it on your behalf. Your relationship with that tool is governed by their terms, not ours, and we are not responsible for what they do, whether they stay available, or what they charge you.
Where eida writes into a system you run, it signs in as an ordinary member of your team and is bound by the permissions you gave that account. Removing our access is disabling one user, on your side, whenever you like.
11 Who owns what
We own eida — the software, the design, the name and everything in it. You get a non-exclusive, non-transferable right to use it for your business while this agreement is in force, and nothing more.
You own your content: your chats, your quotes, your proposals, your tasks. You grant us only the permission we need to run the service for you, which ends when your workspace does.
If you send us feedback or a feature request, we may build it without owing you anything. It also goes on the roadmap, which is the point.
12 Warranties
We will provide the service with reasonable skill and care, and we will keep the two commitments in section 2 — no sending, no writing without human approval.
Beyond that, and to the fullest extent the law allows, the service is provided “as is”. We do not warrant that it will be uninterrupted, that it will catch every request, that every proposal will be correct, or that WhatsApp will keep permitting the connection.
Nothing here excludes any warranty or right that cannot legally be excluded, including consumer rights you may have where you live.
13 Liability
Neither of us is liable to the other for indirect or consequential loss, or for lost profits, lost business, lost goodwill or lost data, however it arises.
Our total liability to you for everything connected with this agreement is capped at the greater of the fees you paid us in the 12 months before the claim or ₹10,000. If you are on a free pilot, that cap is ₹10,000.
In particular, and without limiting the above, we are not liable for: a request eida did not catch; a proposal that was wrong and got approved; a task created in your tool; a WhatsApp account being restricted or banned; or an outage at WhatsApp, your task manager, or any provider we depend on.
None of this limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
You will cover us against claims brought by third parties that arise from you linking an account you had no right to link, or from your use of eida breaking a law or a duty you owed to somebody in those chats.
14 Ending it
You can stop at any time: unlink the account, close the workspace, or email us. No notice period, no exit fee, no retention call.
We may suspend or end your access if you break section 6, if you do not pay, or if we have to stop offering the service. Except in a serious breach we will give you reasonable notice and, where you have paid ahead, refund the unused part.
When it ends: the WhatsApp session is destroyed, and your data is deleted within 30 days as described in the Privacy Policy. Work already written into your own task manager stays there — it is yours, and we could not remove it if we wanted to. Export anything you want to keep from the console before you close it.
15 Changes to these terms
We may update these terms. If a change materially affects you, we will email every workspace at least 30 days before it takes effect, and continuing to use eida after that means you accept it. If you do not, cancel before it applies and we will refund the unused part of anything you paid.
The date and version at the top of this page always say which version is in force.
16 Law and disputes
These terms are governed by the laws of India, and the courts of [city] have exclusive jurisdiction — except where the law of the country you live in gives you the right to bring a claim locally, which we do not try to take away.
Before anything formal, please email hello@eida.ai. Almost everything is solvable by two people talking, and we would rather do that than the alternative.
17 The rest
- Whole agreement
- These terms plus the Privacy Policy, and any contract we have signed with you, are the whole agreement between us on this subject.
- If a clause fails
- If any part is held unenforceable, the rest stays in force.
- Not enforcing something
- If we do not enforce a right straight away, we have not given it up.
- Transfer
- You may not transfer this agreement without our consent. We may transfer it as part of a sale or reorganisation of the business, and would tell you.
- Nothing outside our control
- Neither of us is liable for failures caused by events beyond reasonable control, including a platform we depend on changing or withdrawing access.
